Terms of Service

These Terms of Service govern your use of splicework.ai and of every product and service Splice Work provides, including our AI agents. By visiting the site, submitting a form on it, or using any of our services, you agree to these Terms. If you do not agree, please do not use the site or the services.

1. Agreement to these Terms

ELD Experts LLC, operating the Splice Work brand (“Splice Work”, “we”, “us” or “our”), provides AI agents and related services to businesses. These Terms of Service (the “Terms”) are a binding agreement between Splice Work and the person or business using our website or services (“you”). If you use our services on behalf of a business, you represent that you have authority to bind that business, and “you” includes it.

The Terms apply to the website at splicework.ai (the “Site”), to every product and service we offer (together, the “Services”), and to the communications we send in connection with them. Where a particular product has rules of its own, they appear in these Terms under that product’s name and apply in addition to the general terms.

If you and Splice Work sign a separate order form, statement of work or services agreement, that document governs where it conflicts with these Terms. Our Privacy Policy explains how we handle personal information and forms part of these Terms.

2. Our Services

Our Services are the AI agents described on the Site, such as Nico, our AI phone agent, together with the custom agent builds, integrations and consulting we provide. Each agent is operated by Splice Work and runs inside the systems you already use, on the configuration you approve.

We may add, change or retire Services, and the models, vendors and infrastructure behind them, at any time. We will tell subscribed customers about changes that materially affect a Service they pay for.

3. Eligibility and your account

To use the Services, or to submit a sign-up form on the Site, you must:

  • be at least 18 years old and able to enter into a binding contract;
  • be acting for a business, trade or profession, not for personal or household purposes;
  • give us accurate, current and complete information, and keep it that way;
  • provide only telephone numbers, email addresses and accounts that you own or are authorised to use. Entering someone else’s number is a breach of these Terms and may expose you to liability under telephone-consumer laws; and
  • take responsibility for everyone you allow to act on your behalf in connection with the Services.

4. What our AI agents are, and are not

Our agents are artificial-intelligence systems. They answer calls, hold conversations, send messages, and read and write records using speech, language and other machine-learning models supplied by third parties. Like any such system they can misunderstand, mishear or make mistakes, and their output may occasionally be inaccurate or incomplete. You should review important information an agent gives you or records for you.

Our agents identify themselves as AI when asked and do not claim to be people. You must not configure them, or ask us to configure them, to do otherwise.

Our agents are not an emergency service. They cannot contact 911 or other emergency services, and neither the Services nor our messages should be relied on for any communication where a delay or failure could cause injury, loss of life or serious loss.

Nothing an agent says is legal, medical, financial or other professional advice, and we do not guarantee that the Services will be uninterrupted or error-free.

5. Your responsibilities

Once a Service is live for your business, the agent acts on your instructions and under your configuration: your greeting, your rules, your transfer menu, the information you give it and the systems you connect. You, not Splice Work, are responsible for that configuration and for how the Service is used in your business.

Splice Work supplies tooling and defaults intended to support compliance, such as a recording announcement in a phone agent’s greeting, but we do not warrant that any configuration is compliant in any jurisdiction, and we are not responsible for how you use the Services or for any instruction you give them. In particular, you are solely responsible for:

  • the accuracy and lawfulness of the instructions, content and business information you provide, and of any change you approve;
  • giving your own callers and customers every notice, and obtaining from them every consent, that applicable law requires, including notice that a call is being recorded or transcribed, disclosure that they are speaking with an AI or automated system, and consent to receive calls or text messages;
  • any call or text message an agent places or sends on your behalf to your customers, prospects or contacts. For those communications you are the caller or sender, and you must hold valid consent under the TCPA, the CAN-SPAM Act, the Telemarketing Sales Rule, state telemarketing, robocall and call-recording laws, the California Bot Disclosure Law (Cal. Bus. & Prof. Code § 17940 et seq.) and any other law that applies to you or your callers;
  • the content of, and the decisions you make on the basis of, recordings, transcripts, summaries and records an agent produces;
  • keeping your access codes, Slack workspace, connected accounts and integrations secure, and for everything done through them;
  • your forwarding arrangements with your telephone provider, and the numbers you point at a phone agent; and
  • complying with every law that applies to your business, your industry and your use of the Services, including privacy, consumer-protection, employment, healthcare and financial regulations where relevant.

6. Acceptable use

You must not use the Site or the Services, or allow anyone else to use them, to:

  • break any law or regulation, or make an agent do anything that would be unlawful if you did it yourself;
  • make or send unsolicited calls or messages, or contact any person who has not consented or who has asked not to be contacted;
  • deceive, defraud, harass, threaten or abuse anyone, or impersonate any person or organisation;
  • represent an agent as a human being, or instruct it to deny being an AI;
  • handle emergency calls, or any use where failure could endanger life, health or property;
  • engage in debt collection, lending, insurance, healthcare, political or other regulated calling unless you comply with every law that applies to that activity;
  • collect payment-card, government-identification, health or other sensitive data through an agent unless we have agreed to that use in writing;
  • probe, overload, reverse-engineer or interfere with the Services, or use them to build a competing product; or
  • submit a sign-up form with information that is false or that belongs to someone else, or submit it repeatedly in order to cause calls to be placed.

7. Nico: signing up and the setup call

Nico is our AI phone agent. When you submit the Nico sign-up form and check the consent box, you are asking Splice Work to have Nico telephone you at the mobile number you provided in order to set up the Service for your business. Nico speaks with an artificial, AI-generated voice.

At the beginning of the setup call Nico identifies itself as an AI assistant from Splice Work, confirms that you requested the call, and tells you that the call will be recorded and transcribed. It asks you to confirm that you agree before it proceeds. If you do not agree, or if you say the call was not requested, the call ends and we will not call that number again through the sign-up process.

When you press “Call me to set up,” you request a call now, including evenings and Sundays. If we cannot start the first call within five minutes, delayed calls and automatic retries follow our calling window: 8:00 a.m. to 8:00 p.m. in the time zone you provide, excluding Sundays. We make at most two automatic attempts per sign-up, at least ten minutes apart, and we do not intentionally leave voicemail messages. If we cannot reach you, we send one text inviting you to reply CALL when you are free.

During the call Nico gathers the details needed to configure the Service and reads back a proposed setup. You may approve the initial setup on the recorded call; where a text review is used, follow its approval instructions. Nothing goes live until you approve it. After successful activation, we send a setup confirmation by text. You can text for help or changes and request assistance joining an optional private Slack group. You may stop the process at any time by saying so on the call, replying STOP to a text, or emailing us.

The setup call is part of a sales and onboarding process. Your consent to it is not a condition of purchasing anything from Splice Work, and submitting the form does not create a subscription or any obligation to pay.

9. Nico Texts

Nico Texts are the text messages Splice Work sends in connection with Nico. There are two kinds. Onboarding messages are sent during sign-up and setup: a missed-call invitation to reply CALL, an acknowledgement of a callback request, the proposed setup and approval instructions, a revised proposal if you ask for corrections, an approval confirmation, forwarding instructions and test guidance, requested account support and changes, optional Slack download links and staff-assisted invitation guidance, replies to HELP, and a single opt-out confirmation. Nico Call Alerts are sent to subscribed customers after a call to their business line ends, with a short summary of the call. We do not send marketing text messages or automatic reminders through either program.

Message frequency varies. Onboarding typically involves a small number of messages over a few days; Nico Call Alerts are typically one message per call. Message and data rates may apply. Reply STOP to cancel at any time and HELP for help, or contact hello@splicework.ai. Carriers are not liable for delayed or undelivered messages. Mobile information and text-messaging consent will not be shared with third parties or affiliates for marketing or promotional purposes, and are not sold.

Some numbers cannot receive text messages. If we determine that the number you gave us is a landline, we will not text it, and we will offer another way to review and approve your setup.

10. Recordings, transcripts and data

Calls handled by our phone agents, including Nico’s setup call, may be recorded, transcribed, summarised and analysed. Audio and text from those calls is processed by the telephony and AI-model providers we use in order to hold the conversation and produce the records you receive.

As between you and Splice Work, you own the business information you give us and the content of your calls and messages (“Customer Data”). You grant Splice Work a non-exclusive licence to host, process, transmit and store Customer Data as needed to provide and support the Services, to comply with law, and to maintain the security and quality of the Services. We do not sell Customer Data.

You are responsible for the lawfulness of the Customer Data you provide and for your callers’ rights in it. Our Privacy Policy describes what we collect, how long we keep it and how to ask for deletion.

11. Fees and billing

The Services are sold on the monthly plans published on our pricing page or in an order form you sign. Where a plan includes an allowance of connected call minutes, minutes beyond the allowance are billed at the plan’s stated rate. Work that is quoted, such as custom builds, integrations and consulting, is billed as the quote or order form provides. Prices exclude taxes, which we add where required.

Plans are billed monthly. You may cancel at the end of any monthly period. Fees are non-refundable except where these Terms or the law say otherwise. We may change prices on at least 30 days’ notice, effective from your next billing period.

12. Term, suspension and termination

These Terms apply from the moment you first use the Site or submit a form on it and continue for as long as you use the Services. You may stop using the Site at any time, and may cancel a Service at the end of any monthly period by telling us in writing.

We may suspend or terminate a Service, and refuse or cancel any sign-up, if you breach these Terms, if your account is unpaid, if we reasonably believe your use creates legal or security risk for us, our vendors or the public, or if a telephony or AI-model provider we depend on requires it. Where practical we will tell you first.

On termination of a phone agent you should unforward your telephone line, as the Service will stop answering it. Sections 4, 5, 8, 10 and 13 through 20 survive termination.

13. Intellectual property

Splice Work and its licensors own the Site, the Services, our agents, and all software, models, prompts, designs, documentation and trademarks that make them up. These Terms give you a limited, non-exclusive, non-transferable right to use the Services for your business while you are subscribed. Nothing else is granted.

If you give us feedback or suggestions, we may use them without obligation to you.

14. Third-party services

The Services depend on services we do not control, including telephone carriers, messaging providers and AI-model providers, and on your own telephone provider’s call forwarding. We are not responsible for their availability, accuracy, delays, lost or undelivered messages, or changes to their terms, and your use of any third-party service you connect to an agent is governed by that service’s terms.

15. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SITE, THE SERVICES, OUR AGENTS AND OUR MESSAGES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SPLICE WORK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT AN AGENT’S OUTPUT WILL BE ACCURATE OR COMPLETE, THAT ANY CALL WILL BE ANSWERED OR ANY MESSAGE DELIVERED, OR THAT YOUR USE OF THE SERVICES WILL COMPLY WITH LAWS APPLICABLE TO YOU.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPLICE WORK AND ITS OWNERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR FOR ANY MISSED, DROPPED OR MISHANDLED CALL OR MESSAGE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, SPLICE WORK’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO SPLICE WORK FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

17. Indemnification

You will defend, indemnify and hold harmless Splice Work and its owners, employees, contractors and suppliers from and against any claim, demand, investigation, loss, liability, damage, penalty, cost or expense (including reasonable attorneys’ fees) arising out of or relating to: (a) your configuration or use of the Services, or any instruction you give an agent; (b) any call or message an agent places or sends on your behalf; (c) any failure to give your callers or customers a notice, or to obtain from them a consent, that the law requires; (d) Customer Data; (e) your breach of these Terms or of any law; or (f) any dispute between you and your callers, customers or employees. We may participate in the defence with counsel of our choice, and you will not settle any claim that imposes obligations on us without our written consent.

18. Governing law and disputes

These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before starting any formal proceeding, you agree to write to us at hello@splicework.ai describing the dispute and to work with us in good faith for 30 days to resolve it. Any proceeding that follows must be brought in the state or federal courts located in the State of Nevada, and each party consents to the personal jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

19. Changes to these Terms

We may update these Terms from time to time. When we do, we change the date at the top of this page and, for changes that materially affect subscribed customers, give notice by email or text at least 14 days before they take effect. Continuing to use the Site or the Services after a change takes effect means you accept the revised Terms. If you do not accept them, stop using the Services and cancel at the end of your current period.

20. General

The usual provisions, which matter when something goes wrong.

  • Entire agreement. These Terms, the Privacy Policy and any order form or services agreement you sign are the entire agreement between you and Splice Work about the Site and the Services, and replace any earlier understanding.
  • Electronic communications. You agree that we may provide notices and other communications, including these Terms, electronically by email, text message or posting on the Site, and that electronic records and signatures have the same effect as paper ones.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including carrier or provider outages, internet failures, labour disputes, government action or natural disaster. This does not excuse payment obligations.
  • Severability and waiver. If any part of these Terms is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.
  • No third-party beneficiaries. Nothing in these Terms gives rights to anyone other than you and Splice Work.
  • Relationship. The parties are independent contractors. Nothing here creates a partnership, joint venture, agency or employment relationship.

21. Contact
